Public Offer Agreement

Purchase of Goods via the Online Store barhim.by

General Provisions

1.1. This agreement outlines the procedure by which the Seller sells goods via the online store in accordance with Article 405 of the Civil Code of the Republic of Belarus (hereinafter — CC RB) and serves as the Seller’s official public offer addressed to an indefinite number of individuals.
1.2. Acceptance of this agreement by the Buyer is confirmed by submitting an order through the “Place Order” button in the “Cart” section of the online store, using electronic communication in the manner and under the conditions defined by this Agreement and Article 408 (3) of the Civil Code of the Republic of Belarus.
1.3. When mentioned together, the Buyer and the Seller are referred to as the “Parties”, and individually as a “Party”.
1.4. Each Party guarantees to the other that they have the legal capacity and authority to enter into and perform this agreement.
1.5. By placing an order through the Online Hypermarket, the Buyer accepts all the terms of this agreement and the information posted on the Website at the time the order is confirmed by the Seller.
1.6. The provisions of the Laws of the Republic of Belarus “On Trade”, “On Consumer Rights Protection”, and other legal acts regulating retail sales apply to this agreement.
1.7. The Seller reserves the right to amend this agreement and website information; the Buyer must consider such changes at the time of placing the order.
1.8. Any clearly incorrect information, such as pricing, images, or descriptions, is considered a technical error.


Order Placement and Fulfillment

2.1. Orders may be placed by phone and/or via the website.
2.1.1. When ordering by phone, the Buyer provides the following: desired product and quantity, delivery address, contact phone, and preferred delivery time.
2.1.2. When ordering through the website, the Buyer fills out and submits an electronic order form.
2.1.3. The email address provided when ordering will be added to the store’s mailing list and used to create a user account. The user can request removal.
2.1.4. The mobile number provided will also be added to the SMS list and used for account creation. It can be removed upon request.
2.2. The Seller may contact the Buyer to clarify order details, including delivery date and time.
2.3. Upon order placement through the website, the Buyer will receive a notification email, which does not constitute order confirmation.
2.4. If the product or required quantity is not in stock, the Seller will inform the Buyer. The Buyer may agree to partial fulfillment or cancel the order.
2.5. For product inquiries, the Buyer should contact the Seller before placing an order.
2.6. The Seller may refuse an order if a technical error is discovered, including those caused by third parties or software issues.


Product Delivery

3.1. The Seller will make every effort to meet delivery deadlines; delays due to unforeseen circumstances are not the Seller’s fault.
3.2. Risk of loss or damage passes to the Buyer upon delivery and signing of delivery documents.
3.3. At delivery, the courier will show the Buyer the product’s appearance and completeness. If defects are found, the Buyer may refuse the item.
3.4. Upon receipt, the Buyer is provided with:

  • a receipt (if payment is made on delivery)
  • a warranty card (if provided by the manufacturer)
    3.5. After receipt, the Seller will not accept claims about product quality or completeness, except with a certified service center report.
    3.6. Product inspection must preserve its original condition.
    3.7. Delivery outside the Republic of Belarus is not available.

Payment

4.1. Product prices are listed on the website in BYN (Belarusian rubles), including VAT.
4.2. The Seller may change prices at any time, but not for confirmed orders.
4.3. Payment must be made in BYN using the methods listed in the “Payment” section of the site.
4.4. The Seller may offer discounts; terms are listed publicly on the website and may change unilaterally.


Warranties and Liability

5.1. The Seller is not liable for damage resulting from improper use of products purchased in the online store.
5.2. The Seller is not responsible for other websites’ content or functionality.
5.3. The Seller may assign its rights and obligations under this agreement to third parties.
5.4. The Seller is not liable for consequences from use of products for business purposes.
5.5. The Seller is not liable for losses resulting from:

  • inaccurate information provided during order placement
  • actions of third parties
    5.6. The Buyer is fully responsible for the accuracy of personal data provided.
    5.7. Neither party is liable for failure to perform obligations due to force majeure events.
    5.8. In all other cases, parties are liable in accordance with Belarusian law.
    5.9. In case of unjustified order refusal, the Buyer must reimburse delivery costs.

Miscellaneous

6.1. Belarusian law governs the relationship between the Buyer and Seller.
6.2. Questions and claims should be directed to the Seller via phone or the online feedback form.
6.3. Disputes will first be resolved through negotiation; unresolved issues will be submitted to court.
6.4. If a provision is deemed invalid, the rest of the agreement remains in force.
6.5. The Seller may use the Buyer’s email and phone number to send informational messages.
6.6. The Seller may require 100% prepayment before dispatching an order. Refusal to pay may result in order cancellation. Prepayment may be required if:

  • the Buyer previously refused to accept fulfilled orders
  • other reasons at the store’s discretion
    6.7. The Seller may limit the quantity of products delivered in a single order.
    6.8. The Seller may cancel an order or refuse payment/sale if the price is due to a technical error or third-party interference. A discrepancy of more than 20% from the market average may justify cancellation.
